1. Introduction
These Terms and Conditions outline the agreement between Business Developers ("BDs", "you") and LISO Ventures Limited, operating under the brand TrustyRides ("we", "us", "our"). By participating in our platform as a BD, you agree to these terms, forming a binding legal agreement.
2. Role of Business Developers
As a BD, you are responsible for promoting and growing the TrustyRides network. This includes acquiring new service providers, drivers, fleet owners, and expanding client outreach. You operate as an independent contractor and not as an employee of LISO Ventures Limited.
3. Independence of Business Developers
You are an independent agent conducting business under your own initiative. You are not an employee, agent, or representative of TrustyRides or LISO Ventures Limited. Your activities are your own and are not directed or controlled by us.
4. Responsibilities of Business Developers
a. Lead Generation and Networking:
- Develop leads and effectively network to grow the TrustyRides user base.
- Engage with potential service providers and drivers to promote the benefits of partnering with TrustyRides.
b. Guild Management:
- Establish and manage a guild of service providers and drivers ("Partners") whom you onboard to TrustyRides.
- Provide ongoing support and guidance to your guild members to ensure they meet the operational standards and service quality levels required by TrustyRides.
- Failure to adequately support and guide your guild members may result in the loss of recurring commissions. TrustyRides reserves the right to engage in mediation to improve your performance or, if necessary, agree that you hand over your guild to another BD if your career takes a different direction.
c. Licensing and Compliance:
- Ensure you possess all necessary licenses and permissions to conduct your activities legally.
- Comply with all applicable tax laws, including registration and filing as required by the Kenya Revenue Authority (KRA).
d. Data Handling and Privacy:
- Adhere to applicable data protection laws. Our Privacy Policy, outlines how we collect, use, and protect personal information and your responsibilities in handling such data.
5. Financial Terms
a. Compensation:
- You will be compensated according to the agreed-upon commission structure based on the business you generate for TrustyRides.
- Specific details of compensation will be outlined in a separate agreement or addendum to these terms.
b. Payouts:
- You can withdraw your earnings through our integrated payment service, Pesapal.com, which supports payouts to various payment methods including Safaricom MPESA, Airtel Money, Visa, and Mastercard.
c. Expenses:
- You are responsible for all expenses incurred in the course of your activities, unless otherwise agreed in writing.
6. Intellectual Property
You agree to respect the intellectual property rights of TrustyRides. Any materials, branding, or proprietary information provided to you by TrustyRides are to be used solely for the purpose of your activities under these terms and may not be used for any other purpose without prior written consent.
7. Confidentiality
You must maintain the confidentiality of all proprietary or confidential information disclosed by TrustyRides, and you shall not disclose such information to any third parties without prior written consent from TrustyRides.
8. Termination
a. Immediate Termination by TrustyRides:
- TrustyRides reserves the right to terminate this agreement with immediate effect if there are credible indications of your non-compliance with these terms, including but not limited to inadequate support or guidance to your guild members, or engaging in fraudulent activities.
b. Termination by Business Developer:
- You may terminate this agreement with appropriate notice, as specified in your individual business developer agreement.
c. Effects of Termination:
- Upon termination, you must cease all use of TrustyRides materials and proprietary information. All pending financial obligations owed to you by TrustyRides will be processed according to the terms outlined in Section 5.
9. Disclaimer of Warranties and Limitation of Liability
TrustyRides provides the BD program on an "as is" basis. We do not guarantee any specific outcomes from your activities as a BD.
10. Governing Law
These terms are governed by the laws of Kenya.
